X made substantial prepayments to Y. The Fact that X did not pay them in full, when Z had not called for delivery, does not indicate that X never intended to transfer title to Z. It did make genuine contracts with Y for goods. The fact that it did not make back-to-back contracts in respect of the L/C transactions does not indicate that it never intended to transfer title.

Gegenvertrag

Ich find's allerdings nicht so schön, wenn man das so stehen lässt ... hab mal gegoogelt und "Gegenvertrag" gefunden.
