Prezados colegas: parece-me que "transfer" e "assign" são praticamente a mesma coisa em português. No contexto de um contrato, porém, teriam alguma distinção? Obrigada pela ajuda inestimável! :-)

FRANCHISOR shall have the right to transfer or assign this Agreement and all or any part of its rights, interests or obligations herein, or allow a transfer, assignment, or sale of any (or all) ownership interest in FRANCHISOR, to any person without FRANCHISEE’s consent.
