Qualifying refers to the charge-holder or *chargee / mortgagee* (AmE: lien-holder) able to bring on appointment of an adminsitrator and 'crystallise' a floating charge.
Charge is a floating vs. fixed *company* charge (a mortgage secured by a company debenture held by debenture-holders and I, *in practice*, have had registered at Companies House of England & Wales or, loosely: 'bondholders'). Compare 'prenda de negocio' in SPA.
Many English-into-Portuguese and Spanish translators and interpreters misunderstand the mortgage sense of 'charge' rather than an expense of ths business, but Clauwolf is right about the garantia > collateral security meaning.
