THIS Superseding Amendment (“Amendment”) to the XXX, Inc. Subsequent to the execution of the Agreements, XXX and Master Licensor have executed certain amendments to the Agreements.
Master Licensor has not timely satisfied all of its obligations under the Agreements and, as a result, XXX has the right to terminate the MLA.
Master Licensor has requested that XXX refrain from terminating the MLA and, instead, agree to modify certain terms of the Agreements to allow Master Licensor to continue to develop and operate, and sublicense third parties to develop and operate, XXX restaurants in the Development Territory.
XXX has agreed to do so, and Master Licensor and XXX are entering into this Amendment to amend the Agreements to reflect the parties’ present agreement regarding Master Licensor’s activities in the Development Territory.
NOW THEREFORE, in consideration of the mutual covenants, agreements and obligations set forth below, the parties, intending to be legally bound, agree as follows:

1. Prior Amendments. As of the date of this Amendment, all prior Amendments to the Agreements, other than the Collateral Agreement, are null and void. Accordingly, all modifications effectuated pursuant to this Amendment will be made to the MLA and GTC in their original and form, modified only to reflect the terms and conditions of the Collateral Agreement.

Назвал бы этот документ дополнительным соглашением, но на дополнительное соглашение он мало похож, да и есть уже у них Collateral Agreement, которое я перевел как дополнительное соглашение. А здесь нужно другое название. Поправкой или дополнением это не назовешь, потому что целые абзацы Договора просто изымаются и даются в другой редакции. Написал пока в лоб рабочий вариант Заменяющее изменение, но уж больно коряво, как мне кажется, звучит. Жду ваших вариантов. Может кому что-то дельное в голову придет.
