English to Italian Bus/Financial Business/Commerce (general) options

Da un testo che descrive modifiche ad un patto di sindacato:
"the Shareholders' Agreement the Lead Investor hereby confirms and undertakes not to utilise its Option during the five year vesting period (as set out in clause 17.3) upon your retirement from the Group given that such retirement takes place at the normal retirement age according to relevant laws or employment agreement."

La clausola 17.3 recita:
"17.3 Vesting
The Managers' Sweet Equity transferred pursuant to Clause 17.1(iv) above shall vest as follows (timing as from the date of their respective investment):
Up to 12 months 0 per cent.
1 year + 1 day 20 per cent.
2 years + 1 day 40 per cent.
3 years + 1 day 60 per cent.
4 years + 1 day 80 per cent
5 years + 1 day 100 percent."
