rappresentante legale/procuratore Explanation: AGENT sta ad indicare una persona munita di poteri per lo svolgimento di determinati affari (come l'agente, il procuratore, il commissionario, l'institore, il preposto, ecc). Qualora all'agent siano attribuiti anche poteri di rappresentanza (POWER OF ATTORNEY), come sembra in questo caso, diventa un ATTORNEY-IN-FACT. Quest'ultimo si distingue dall'ATTORNEY-AT-LAW che negli USA è colui che è abilitato alla professione legale. Eviterei l'espressione DI FATTO che sembra alludere all'esercizio di una carica della quale non si è stati formalmente investiti, come nel caso del falso procuratore.
