I just don't quite understand whether the 0.3% refers to an interest held in the GmbH, or whether the interest is being assigned to the Gmbh. Could it be either? From the foregoing text, I thought that it was referring to an interest held in the GmbH that would then be assigned to another party.

(In a different context of course "an" could be "to". (German can be just as ambiguous as English if tries!)

From the limited context, I would say that the assignment is to the GmbH, not from it.

You may also want to use assignation rather than assignment. As Adrian pointed out, you should leave a noun a noun whenever possible, which it is in this case. In addition 'an' can mean 'in' or 'to' depending on the context, but without further context for this, I definitely think it would be 'to' in this case.
