"sociedade" here in this business context could be any of the following:

and therefore the more generic term "company" applies here.

agree jack_speak : Yes, I think this is the idea. He is not barred, by any special law, from carrying out the management of the company. Using your phrasing, I would correct it to say he is not "prevented from managing" rather than "prevented to manage," which is incorrect.
