'我国转投资的设计，是一项典型的“资产”维持原则下的产物，而非如我国台湾公司法的“资本”维持原则的子规则。转投资的限制，在我国台湾公司法的出现，则是立法上的一种“危机处理”的产物。自1929年，转投资限制嵌入立法条文之后，历次修正围绕“转投资限额为投资公司实收资本的某一比例”而变动，1929年为四分之一，1946年为三分之一，1966年为四分之一，1969年为三分之一，1980年为40%。上述比例的变化，尽管宽严之间出现反复，但总的趋向是放宽限制[3]。我国的转投资设计，是一个赋权型规则与例外的强制性禁止规则结合的模式，即原则上法律赋予公司具有转投资的行为能力，但设定一个“净资产比例上限”的制约。具体而言，转投资限制的上限标尺，是以公司的净资产，而非公司注册资本的额度。之所以制定这一条款，是当时立法制定者仍对长期投资科目心存疑惑，认为长期投资或导致母公司总资产虚拟和净资产不实，因此必须加以限制[4]。'
