Disclaimer of Agency

The generic heading for this type of clause is "disclaimer of agency", or sometimes "independent contractors," meaning that the parties are in no way agents of each other. Here are examples of typical "disclaimer of agency" clauses:

"INDEPENDENT CONTRACTORS. The parties hereto expressly agree that the relationship between them hereunder is that of two principals dealing with each other as independent contractors subject to the terms and conditions of this Agreement. At no time, either past, present or future, shall the relationship of the parties herein be deemed or intended to constitute an agency, partnership, joint venture or a collaboration for the purpose of sharing any profits or ownership in common. Neither party shall have the right, power or authority at any time to act on behalf of, or represent, the other party, and each party hereto shall be separately and entirely liable for its own debts in all respects."

"Disclaimer of Agency. This Agreement shall not constitute any party the legal representative or agent of another, nor shall any party have the right or authority to assume, create, or incur any third party liability or obligation of any kind, express or implied, against or in the name of or on behalf of another, except as expressly set forth in this Agreement."

disagree AllegroTrans : I think the text suggests that there is NO contractual relationship AT ALL between the parties, so it's more than just the absence of agency here

In this context "agency" does not refer strictly to an agency agreement, but to any business relationship. Check out the content of the thousands of "disclaimer of agency" clauses on google. But I agree that Ross' "disclaimer of association" is fine too

Lack of contractual relationship

A debate continues in the courts over the right of a party who suffers financial loss due to the negligence of another party involved in a project -- but who ***lacks a contractual relationship*** with that party -- to have a legal claim for the loss.
The issue, usually referred to as the "economic loss doctrine" (as distingushed from losses for personal injury or damage to other property), has divided state courts for years.

Te sugeriría ver también "economic loss doctrine".

On second thought, I think it will be better to use a header I've seen in lots of contracts which reads "Entirety of agreement".

"asociación" means a lot of things including joint-ventures, partnerships, employment, agency, etc. so my suggested header would cover all that.

Here's an example of a commonly used clause header (at least in America):

I just realized, I should've used "heading" instead of "header"
