How can I say this in English?

Here's the context:

"La valeur des produits de qualité loyale et marchande, figurant au catalogue en vigueur de XXX, sera restituée par XXX au Distributeur Agréé, conformément aux Conditions Générales de Vente. Par contre, les produits défraîchis, périmés ou altérés par la faute ou la négligence du Distributeur Agréé ne seront pas remboursés, sauf conventions particulières."
