This is a legal text where By-laws of a X company are being explained and it is talking about Proxies in meetings of stockholders.
The whole sentence goes like this: "Unless otherwise provided in the Certificate of Incorporation, every stockholder of record shall be entitled at every meeting of stockholders to one vote for each... bla bla bla"
My attempt: "A menos que lo contrario sea estipulado en el Acta de Constitución, cada accionista registrado tendra derecho a un voto por junta... bla bla bla"
My question: Is it ok the first part? Am I translating correctly the sentence with "unless otherwise"? btw, Is it well rendered the term "Certificate of Incorporation" as "Acta de Constitucion"?
I'll really, really appreciate anybody who can help me here :)

Salvo disposición contraria en el certificado de incorporación.
Simplemente es así, una traducción directa. Tu opción está mal.

(... bla bla bla), a no ser que en el acta constitutiva se especifique lo contrario.
Creo que es mejor empezar la frase con el sujeto, el verbo y el complemento y terminarla con esta aclaración. Un saludo.
