English term

Unless otherwise provided in the Certificate of Incorporation,

English to Spanish Bus/Financial Business/Commerce (general)
This is a legal text where By-laws of a X company are being explained and it is talking about Proxies in meetings of stockholders.

The whole sentence goes like this: "Unless otherwise provided in the Certificate of Incorporation, every stockholder of record shall be entitled at every meeting of stockholders to one vote for each... bla bla bla"

My question: Is it ok the first part? Am I translating correctly the sentence with "unless otherwise"? btw, Is it well rendered the term "Certificate of Incorporation" as "Acta de Constitucion"?

I'll really, really appreciate anybody who can help me here :)
Saludos!

neutral Carola Gonzalez : Cf. BLACK'S LAW DICT: "Certificate of incorporation: a document issued by a state authority granting a CORPORATION its legal existence and the RIGHT TO FUNCTION as a corporation" Por algo Certificate of Incorporation aparece con la primera letra en mayúsc
