Conclude

English to Spanish Law/Patents Law: Contract(s)
"The agent has the power to conclude a contract"
In English this might be read in a number of ways, as i understand it it could mean the power to simply sign off the contract, and no other, or the power to carry out the contract itself, either by the agent itself or a suncontractor. Is there a legal definition of the word in English for the purpose of writing contracts and an equivalent in Spanish. Does 'Concluir' work for this?

Facultad "La facultad de celebrar un contrato (tal vez subcontrato)". This would certainly include the power to subcontract. More I cannot say; I would have to see the entire CONTEXT and that is something I'm not willing to do, at least not free!

Contract The contract was written up in Australia, which has a similar legal/ tax system to the UK. I am not personally involved in the contract. I am told that this situation has arisen beacuse no matter how watertight you make a contract, ie prohibiting the agent from subcontracting, they will go ahead and do what they like anyway. The vageuenss of the wording covers them in the event that it is challenged.
It is difficult to test contracts like this here in law, there is no system as in the UK or Australia. As for avoiding contracts like this then no-one would do business here at all, things are routinely fuzzy, must be the sandstorms of the effect of the heat on the brain.

Vagueness Interesting; this must mean then that this language in English was drafted in Saudi Arabia, which is pehaps why is sounds strange to me. But I must warn you that Spanish, and especially legal Spanish, is not at all vague. It is very precise and specific, so I seriously doubt that the vagueness can be preserved. Maybe one would be wise to avoid such contracts.

conclude In the context the word means, or is intended to mean 'finalise', the term can also be read as ' carry out' and, as mentioned, also to terminate and to 'execute'. The client says that the double meaning in English is useful. The agents here, in Saudi Arabia, are generally non native speakers of English and their interpretation of the word allows them to take a contract and then sub contract it out to a third party. The vagueness of the word is important for tax reasons and should be preserved in Spanish as such if possible.

En estricto derecho, "to conclude" puede significar también "to terminate"; si significa pasar, firmar o suscribir un contrato, puede provenir del término generalmente utilizado en francés "conclure" un contrat, que significa en efecto suscribir un contrato. Entonces estar muy seguro del contexto.

With a bit of research it appears that to "conclude" a contract means to "execute" it, which is the usual term in the USA. I have not seen "conclude" used here with that meaning.

At first I thought "conclude" might mean "terminate" ("resolver" un contrato), but no, that does not appear to be the case at all.

I would suggest you do further research to confirm, and it would be a very good idea to cite both the origin and destination countries (CONTEXT) because our languages represent many countries, many laws and many variations in terminology.

I am understanding the English according to your note, and the Spanish term "celebrar" is what is used in Mexico as an equivalent, and I believe it would be valid in many other Spanish-speaking countries as well.

Another note to explain that "celebrar" is when the contract is "executed" or signed. In Spanish, "ejecutar" refers to "performance" of the contract, which means that after you execute it, then it is performed or carried out. Thus when dealing with contracts, a translator has to be very aware that "execute" and "ejecutar" are false friends.

The English term for concluding a contract is "terminate" and the legal term in Spanish is "resolver".
